Step-by-Step Guide to Transfer of Tenancy

Transferor (Seller) makes an online application to request for a transfer of tenancy. To apply online, please click here. You may refer to the annexes below:

| STEP 2 |
Obtaining clearances from relevant government agencies
Should the Transferee change or extend usage of the premises, he has to obtain clearances from the Central Building Plan Unit (CBPU) and Public Utilities Board (PUB), if applicable before applying for a transfer.
Any proposed change in use or extension of use by the Transferee has to be compatible with the surrounding industries in general.

Submit the Online Application
JTC will notify the Assignor or Transferor and Assignee or Transferee of the outcome within 14 working days.

| STEP 4 |
Acceptance of terms and conditions to the transfer
Both Transferor and Transferee have to indicate acceptance of the consent letter by submitting the following documents:
- Letter of undertaking from the Transferor to relinquish all rights and liabilities of the terms and conditions as stated in the Tenancy Agreement
- Letter of undertaking from the Transferee to adopt all rights and liabilities of the terms and conditions as stated in the Tenancy Agreement
- Letter of undertaking from the Transferor that they will maintain at least 51% shareholding in the Transferee
- Duly signed letters of acceptance from the Transferor of all the Terms and Conditions as set out in the consent letter
- Duly signed letters of acceptance from the Transferee of all the Terms and Conditions as set out in the consent letter
- Cash deposit equivalent to 3 months’ rent and service charge or in lieu thereof, a Banker’s Guarantee of the same amount, from transferee.
- Payment of Admin fee and Stamp Duty
- The GIRO authorisation form
- The Transferee certificate of incorporation (not applicable for sole-proprietors and partnerships) or certificate of registration (for limited liability partnerships)
- Other supporting documents such as sale and purchase agreement, marriage certificate, birth certificate, death certificate, identity card or passport, if applicable
- Clearances from CBPU and PUB and a copy of the application form submitted, where applicable

Execution of legal documentation
Both Transferor and Transferee need to execute a Deed of Novation, to be prepared by JTC’s Legal department. |
