Price Tender for Industrial Properties - Terms and Conditions

Please read these Terms and Conditions carefully. It is applicable to the Tender for the Property on JTC’s Customer Service Portal ("CSP”).

By accessing or using the CSP, you unconditionally accept and agree to be bound by these Terms and Conditions, which may be amended from time to time. All amendments will be posted on JTC Landed Factories page. It is your responsibility to check the JTC Landed Factories page and these Terms and Conditions from time to time for changes, before participating in the tender. Tenderers who do not comply with these Terms and Conditions will not be considered by JTC.

Definitions of Terms

  1. In these Terms and Conditions, the words and phrases below have the following meanings, unless the context requires otherwise:

    Authorities” means all relevant government and statutory authorities.

    Ineligible Tenderer” means a Tenderer who has not been issued with a unique entity number by a regulatory body in Singapore, or who has any outstanding debts due to JTC, or has been debarred from participating in any tenders, bidding exercises, or other procurement exercises by JTC or the Authorities. JTC’s decision as to whether a Tenderer is an Ineligible Tenderer is final.

    JTC” means Jurong Town Corporation, a statutory board established under the Jurong Town Corporation Act 1968.

    JTC Acceptance” means JTC’s acceptance of a Tender, if issued.

    JTC Website” means www.jtc.gov.sg

    Premises” refers to the JTC property referred to in the Tender.

    Successful Tenderer” means the Tenderer whose Tender has been accepted by JTC.

    Tender” means a tender submitted by the Tenderer through CSP indicating the Tenderer’s interest for the Premises, and the monthly rent the Tenderer wishes to pay, for a tenancy of the Premises. A Tenderer may submit one tender only

    Tender Deposit” means the sum stated on the CSP that is payable as deposit by the Tenderer for the Tender.

    Tenderer” means any person (including a body corporate) making or purporting to make a Tender, whether as principal or agent.

  2. Words importing the singular include the plural and vice versa. Words importing the masculine, feminine or neuter genders are used interchangeably. Words denoting natural persons include corporations and firms and vice versa. Headings are for ease of reference only.
  3. Eligibility

  4. Tenders submitted by an Ineligible Tenderer will be invalid and will not be considered by JTC.
  5. Tender Rules

  6. The Tender Deposit must be paid in full when the Tender is submitted. If the Tender Deposit is not paid, the Tender submitted will be invalid and will not be considered by JTC.

  7. In addition to rent, a Successful Tenderer will be required to pay (where applicable) service charges, parking charges, security deposit, and other charges (as may be applicable) for the tenancy of the Premises. Goods and Services Tax and stamp duty will also be payable by the Successful Tenderer. The Successful Tenderer is required to submit its GIRO application to JTC in respect of the recurring monthly sums that is payable to JTC, before the Premises can be handed over to the Successful Tenderer.

  8. A Tenderer may update the monthly rent the Tenderer wishes to pay after its Tender has been submitted at any time before the Closing Date. Other than an update of the monthly rent, no other changes to a Tender or any information submitted as part of a Tender are allowed. For clarity, a Tenderer is not required to pay a fresh Tender Deposit if a Tenderer updates the monthly rent the Tenderer wishes to pay after submission of its Tender.

  9. JTC has the right at any time to terminate, extend the Closing Date for a Tender or amend any particulars of any Tender, whether or not a Tender has been received for the Premises. JTC will not be responsible to any Tenderer for any costs, losses or damages incurred in relation to such changes.

  10. JTC has the right to publish details of the Tenders received, after the Closing Date.

  11. Unless otherwise stated, the tenancy for the Premises will be for a term of 3 years. Any tenancy renewal after the end of the tenancy will be at JTC’s absolute discretion.

  12. JTC does not warrant the accuracy of the information and other details in respect of the Premises on CSP, and expressly disclaims liability for errors or omissions therein.
  13. Payment of Tender Deposit

  14. The Tender Deposit must be paid by PayNow or such other mode of payment as may be specified by JTC. Payment by cheque is not acceptable. JTC must be in actual receipt of the Tender Deposit paid by the Closing Date and Time.
  15. Results of Price Tender Session

  16. JTC may publish the provisional results on JTC Website, or communicate the provisional results through SMS, or by other means as determined by JTC. Such publication, or communication, is NOT JTC’s acceptance of any Tender.

  17. JTC is entitled not to consider any Tender (whether or not it is the highest Tender), and not to issue any JTC Acceptance to any Tenderer.

  18. After the Closing Date, JTC may request any Tenderer, to provide documents for JTC’s further assessment of its Tender. Such documents may include (without limitation) the following to be complied with at the Tenderer’s cost and expense:
    1. Latest company profile from Accounting & Corporate Regulatory Authority (ACRA);
    2. Company/Personal Bank Statement (past 3 months);
    3. Photocopies of Identity Cards (ICs) of all shareholders;
    4. Company/Personal Notice of Assessment (IRAS) (past 3 years);
    5. Credit reports of all company shareholder(s), which are available online at www.creditbureau.com.sg;
    6. Reason for tendering the Premises (e.g. business expansion);
    7. Proposed activities to be carried out in the Premises;
    8. Pictures or photographs of your products/tools/equipment;
    9. Necessary clearances from the Authorities, such as NEA, SFA, etc.;
    10. Payment Invoices / Signed Contracts with customers / clients (past 3 months);
    11. Existing factory / warehouse / shop premises address, and if you are moving out (state reasons) or retaining the existing premises;
    12. Tenancy Agreement, rental payment receipts of existing premises (if any); and
    13. Number of foreign workers, local workers and place of residence of foreign workers.
  19. Withdrawal of Tenders and Misconduct by Tenderer

  20. Without affecting any other rights of JTC, the Tender Deposit will be FORFEITED if the Tenderer:
    1. withdraws its Tender after the Closing Date;
    2. withdraws its Tender after JTC has accepted or awarded the Tender;
    3. fails to comply with the requirements set out in JTC’s letter for the tenancy of the Premises, within the time stipulated and in accordance with the terms therein;
    4. fails to provide any documents requested by JTC;
    5. is an Ineligible Tenderer;
    6. submits a fraudulent Tender or a Tender in bad faith; or
    7. provides false or misleading information in its Tender.

  21. In addition to the aforesaid, JTC, or the Authorities, may also debar any Tenderer from participating in future tenders, bidding exercises, or other procurement exercises called by JTC, or the Authorities, for such periods and on such terms as JTC, or the Authorities, may impose.
  22. Regulatory Approval

  23. A Tenderer who receives the JTC Offer is responsible for obtaining all requisite licences from the Authorities before starting operations at the Premises, at the Tenderer’s own cost and expense. The tenancy commencement date stated in the JTC Offer remain unchanged regardless of the outcome of the Tenderer’s applications for the requisite licences from the Authorities.
  24. Tenancy Terms and Conditions

  25. The terms and conditions of the tenancy for the Premises will be determined by JTC in its absolute discretion and are NOT negotiable.

  26. The tenancy for the Premises will be on an “as is where is” basis. The Tenderer is deemed to have full notice and knowledge of the actual state, condition and size of the Premises. No error, omission or misstatement in the description of the Premises will invalidate the Tender and no compensation of the Tender Deposit, or reduction of the monthly rent or other monies paid or payable will be given.
  27. General

  28. JTC collects information in the course of evaluating the Tenders submitted. JTC may share necessary information with the Authorities (or non-Government entities which have been authorised to carry out specific governmental services) to assess the Tenders unless such sharing is prohibited by legislation.
